Terms of Service

These Terms of Service ("Terms") govern your access to and use of UTM Studio for GA4 ("Service"), operated by [NOME COGNOME], P.IVA [P.IVA], Italy ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

UTM Studio for GA4 is a web-based tool that allows users to:

• Validate and build UTM parameters for Google Analytics 4
• Predict GA4 channel assignments before publishing campaigns
• Audit GA4 properties to identify and fix Unassigned sessions
• Generate QR codes and bulk process UTM URLs via CSV

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Account and Access

Access to certain features requires signing in with a Google account. You are responsible for maintaining the security of your Google account credentials. You agree to notify us immediately of any unauthorized use at hello@utm-studio.app.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Free and Pro Plans

4.1 Free Plan

The Free plan includes unlimited UTM validation and building, QR code generation, 1 bulk CSV upload per month, and 1 GA4 Audit scan (one-time, not monthly). No credit card is required.

4.2 Pro Plan

The Pro plan is available at $30/month per GA4 property. It includes unlimited GA4 Audit scans, daily automated scans, Slack and Email alerts, unlimited bulk CSV, and downloadable historical reports.

Pro subscriptions are billed monthly and managed through Lemon Squeezy. By subscribing, you also agree to Lemon Squeezy's Terms of Service.

5. Payments and Refunds

All payments are processed by Lemon Squeezy. Prices are in USD and exclude applicable taxes (VAT may be added based on your location).

You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period - you will not be charged for the next month, but no partial refunds are issued for the current month.

We reserve the right to change pricing with at least 30 days' notice to active subscribers.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, scrape, or circumvent usage limits
• Share your account credentials with third parties
• Use automated tools to abuse the Service or its APIs
• Resell or sublicense access to the Service without written permission

7. GA4 Data and Third-Party Services

When you connect your GA4 property, you grant us read-only access via Google's official OAuth2 flow. You are responsible for ensuring you have the right to access and audit the GA4 properties you connect. We are not affiliated with Google LLC.

8. Intellectual Property

All content, design, code, and branding of UTM Studio for GA4 are owned by or licensed to us. You may not copy, reproduce, or distribute any part of the Service without our prior written consent.

You retain full ownership of your own data, including UTM parameters and GA4 property data you access through the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that results will be accurate in all cases. GA4 channel grouping rules may change over time; we endeavor to keep our validation logic up to date but cannot guarantee real-time accuracy.

10. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless [NOME COGNOME] and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect paid subscribers.

13. Governing Law

These Terms are governed by the laws of Italy. Any disputes shall be subject to the exclusive jurisdiction of the courts of Italy, without prejudice to your rights as a consumer under applicable EU law.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify active users of material changes via email.
